Terms of Service

Version 1.0 · Effective 24 September 2026

1. What this document is

These Terms of Service ("Terms") are a contract between you and [ENTITY NAME] ([ENTITY ADDRESS]) ("we," "us," "Cllect"). They govern your use of the Cllect platform, including the website, application, and all related services (the "Service"). By requesting a beta invitation and again by logging in for the first time, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the Service.

2. The Service

In short: Cllect helps music artists track their releases, contracts, royalties, and invoices. It can read documents with AI, send and receive e-mail on your behalf, and import your Spotify catalogue. It is in invite-only beta and provided as-is.

2.1 Cllect is a software-as-a-service platform for music artists. It lets you:

2.2 The Service is currently in invite-only beta. See Section 4.

3. No legal, accounting, or tax advice

In short: Cllect is a tool, not a lawyer, accountant, or tax adviser. Its AI-generated readings, extracted figures, and computed amounts may be wrong or incomplete. Your own professional advisers govern.

3.1 [ENTITY NAME] is not a law firm, accounting firm, or tax advisory firm. The Service does not provide legal, accounting, or tax advice.

3.2 The AI-assisted extraction of contract terms, royalty figures, reversion dates, and any other computed or summarised information is provided as an aid only. It may be wrong, incomplete, or out of date. You must not rely on it as a substitute for your own review or for advice from a qualified lawyer, accountant, or tax professional.

3.3 Any figures, dates, or terms shown in the Service are derived from documents you upload. We do not verify their accuracy. Your own review and the advice of your professional advisers govern all decisions you make.

4. Beta programme

In short: The beta is free and invite-only. We may change, limit, or end it at any time. We reserve the right to introduce paid plans later with reasonable notice.

4.1 Invite-only access. Access to the Service is currently by invitation only. We may accept or decline requests at our discretion.

4.2 No fees during beta. The beta is free. You will not be charged any fees for using the Service during the beta period.

4.3 Future paid plans. We reserve the right to introduce paid plans or fees for the Service (or parts of it) in the future. If we do, we will give you at least 30 days' notice before any charges apply to your account. You may choose not to continue using the Service at that point. [review — notice period length]

4.4 As-is service. The Service is provided on an "as-is" and "as-available" basis during the beta. We make no commitments about uptime, availability, or performance. We may change, suspend, or discontinue any part of the Service at any time without notice.

4.5 Acceptance. You accept these Terms and the Privacy Policy:

4.6 Beta feedback channel. We may provide a channel for you to submit feedback, bug reports, and feature requests during the beta. See Section 11 for the licence that applies to feedback.

5. Your account and content

In short: You are responsible for your account. You confirm you have the right to upload what you upload and to have us process and send it.

5.1 Account. You must provide accurate information when creating your account. You are responsible for keeping your login credentials secure and for all activity under your account.

5.2 Your content. "Your Content" means any files, documents, data, text, or other materials you upload to or create within the Service, including contracts, royalty statements, invoices, and e-mail content you instruct us to send.

5.3 Your rights in Your Content. You retain all ownership rights in Your Content. We do not claim ownership of anything you upload.

5.4 Your confirmation. By uploading content or instructing us to send e-mail on your behalf, you confirm that:

5.5 Licence to us. You grant us a limited licence to store, process, display (to you), transmit, and otherwise use Your Content solely to provide and improve the Service. This licence ends when your account is deleted (subject to the label-contacts exception in Section 14.3).

6. E-mail features

In short: We send e-mail from your Cllect address on your instruction. You are responsible for the content and for complying with applicable e-mail laws. We capture and forward replies.

6.1 Sending on your behalf. The Service sends e-mail from your per-account Cllect address (for example, deals@masterhold.com or <yourname>@masterhold.com) at your instruction. Each e-mail is sent because you initiated it — we do not send unsolicited e-mail on our own initiative.

6.2 Your responsibility. You are responsible for:

6.3 Receiving and forwarding. When a reply is sent to your Cllect address, we receive it, capture any attachments into your account, and auto-forward the reply to your personal e-mail address.

6.4 Storage of e-mail content. We store the content of e-mails sent and received through the Service (including attachments and the details of third-party correspondents) as part of your account data. This data is subject to the Privacy Policy and is deleted when your account is deleted (see Section 14).

7. Spotify import

7.1 The Service allows you to import your catalogue data from Spotify using the Spotify Web API.

7.2 Your use of Spotify data is also subject to Spotify's own terms of service and privacy policy. We are not responsible for Spotify's services or terms.

7.3 The data imported from Spotify is treated as Your Content and stored as part of your account.

8. Acceptable use

8.1 You agree not to:

8.2 We may suspend or terminate your account if you violate these Terms.

9. Intellectual property

9.1 Yours stays yours. You retain all rights in Your Content. Nothing in these Terms transfers ownership of your intellectual property to us.

9.2 Ours stays ours. We (and our licensors) retain all rights in the Service, including all software, design, text, graphics, and other materials that form part of the Service. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service under these Terms.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what data we collect, how we use it, and your rights. Please read it.

11. Feedback

In short: If you give us feedback, we can use it freely to improve the Service. You keep your rights too.

11.1 If you provide feedback, suggestions, ideas, bug reports, or other input about the Service ("Feedback"), you grant us a perpetual, worldwide, royalty-free, non-exclusive, sublicensable licence to use, modify, and incorporate that Feedback into the Service or any other product or service, without any obligation to you.

11.2 You retain any intellectual property rights you have in the Feedback itself.

12. Friendly confidentiality request (beta)

In short: We ask — but do not require — that you keep beta details private.

12.1 During the beta period, we kindly ask that you do not share screenshots, feature details, or other specifics about the Service publicly. This is a request, not a legal obligation. We appreciate your help in keeping things under wraps while we are still building, but we will not take action against you if you choose to share.

12.2 This section creates no binding confidentiality obligation and is not enforceable as a contract term. It is a courtesy ask between us.

13. Disclaimers and limitation of liability

In short: The Service is provided as-is with no warranties. Our liability is capped at the greater of fees you paid us in the last 12 months or USD 100.

13.1 Disclaimer of warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13.2 No reliance. Without limiting Section 3, the AI-assisted features are experimental. You acknowledge that extracted data, computed figures, and any analysis may contain errors.

13.3 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE TOTAL FEES YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD 100). [review — liability cap amount; during free beta this means USD 100]

13.4 Exclusion of consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

13.5 Exceptions. Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law.

14. Termination and account deletion

In short: Either side can end this at any time. When your account is deleted, we delete all your data — except the shared label-contacts pool.

14.1 Termination by you. You may stop using the Service and request deletion of your account at any time through your account Settings.

14.2 Termination by us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

14.3 Deletion flow. When you initiate account deletion:

14.4 Label-contacts exception. The one exception to full deletion: the crowdsourced label-contacts pool. This is a shared directory of label and distributor business contact information (such as royalty department e-mail addresses) that is assembled in part from users' activity and shared across all Cllect users. This business contact data belongs to the labels and distributors — it is not your personal data. It is retained after your account is deleted to continue serving other users. See the Privacy Policy for full details.

14.5 Effect of termination. Upon termination, your right to use the Service ends. Sections 3, 5.3, 9, 11, 13, 14.3, 14.4, 15, 16, and 17 survive termination.

15. Data export

15.1 You may request a copy of your files and data at any time by contacting us at support@masterhold.com. We will provide your data in a reasonable format within a reasonable time.

16. Indemnity

16.1 You agree to indemnify, defend, and hold harmless [ENTITY NAME] and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

17. Governing law and venue

17.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. [review — Martin to confirm Delaware]

17.2 Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. [review — Martin to confirm venue]

18. Changes to these Terms

18.1 We may update these Terms from time to time. Each version will have a version number and effective date.

18.2 When we update the Terms, we will notify you. You will be asked to re-accept the updated Terms at your next login before you can continue using the Service.

18.3 If you do not accept the updated Terms, you may stop using the Service and request deletion of your account.

18.4 Your continued use of the Service after re-accepting updated Terms constitutes your agreement to the updated Terms.

19. General

19.1 These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.

19.2 If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

19.3 Our failure to enforce any right or provision does not waive that right or provision.

19.4 You may not assign or transfer these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
